INTRODUCTION
These Terms of Service, together with any documents incorporated by reference (collectively, the “Terms” or this “Agreement”), govern your access to and use of the website located at https://www.project1490.com/ (the “Site”), and any associated services, programming, content, events, workshops, membership offerings, and materials provided by The Renaissance Edge, LLC d/b/a Project 1490 (“Project 1490,” “we,” “us,” or “Company”) (collectively, the “Services”).
PLEASE READ THESE TERMS CAREFULLY, AS THEY CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND PROJECT 1490. BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICES.
We reserve the right, at our sole discretion, to modify, suspend, or discontinue any part of the Services, or to revise these Terms at any time. Any modifications are effective upon posting on the Site. Continued use of the Services after posting constitutes acceptance of revised Terms.
We may terminate or restrict your access to the Services at any time with or without notice, for any reason.
PLEASE REVIEW THE ARBITRATION AGREEMENT CAREFULLY, AS IT REQUIRES CERTAIN DISPUTES TO BE RESOLVED THROUGH FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS.
DESCRIPTION OF SERVICES
Project 1490 is an experience-driven women’s membership community designed to help high-achieving women build clarity, confidence, and connection through bold experiences, nature-based and skill-based learning, advisory circles, member networking, and transformational retreats and workshops.
Services may include access to:
- Online community platform(s)
- Member directory
- Monthly member introductions
- Virtual speaker sessions
- Quarterly Evening Exchange
- Days of Badassery events
- Annual retreats (separate registration required)
- TRIBE small-circle advisory experience (for TRIBE members only)
- Member-hosted gatherings (availability varies; some TRIBE-only)
- Partner discounts
- Inclusion in referral program
The scope, availability, format, and frequency of Services are subject to change at any time without notice. We make no guarantees about the existence, frequency, or availability of any specific event, Service, or benefit.
Unless otherwise stated in a separate written agreement with you, the Services are for personal, non-commercial use only. Commercial solicitation is strictly prohibited.
MEMBERSHIP
1. Eligibility
To be eligible for membership, you represent and warrant that you:
1. Identify as a woman;
2. Have at least ten (10) years of career experience with a professional title between Manager and C-Level, or are a Founder;
3. Are not a convicted sex offender;
4. Have not previously been removed from membership for violation of these Terms or the Code of Conduct;
5. Have authority to enter into this Agreement.
We reserve the right to deny or revoke membership, or decline TRIBE placement, at our sole discretion.
No age requirement is included, as the career experience requirement supersedes.
There is no requirement to reside in the United States.
2. Membership Levels
A) Collective Membership
Collective membership is a one-year term. It may be canceled after six (6) months; however, all fees are non-refundable.
B) TRIBE Membership
TRIBE membership is a one-year term. It may not be canceled mid-term. All fees are non-refundable.
TRIBE membership includes placement into a small advisory group of approximately 5–8 women. Placement occurs on a rolling basis and timing is not guaranteed.
3. Term & Auto-Renewal
Memberships automatically renew for successive one-year terms unless written notice of non-renewal is provided at least thirty (30) days before the renewal date.
4. Fees & Refunds
All membership and event fees are due upon registration (unless a payment plan is offered) and are non-refundable for any reason.
Membership benefits and pricing are subject to change upon renewal.
Events (e.g., retreats, Days of Badassery) may have separate registration fees.
5. Discounts
- Days of Badassery:
- Collective: 10% discount
- TRIBE: 50% discount + one guest pass per year at 50%
- Retreats:
- TRIBE: 20% discount
- Collective: no discount
Discounts may change at our discretion.
6. TRIBE Placement
TRIBE members are placed into advisory groups on a rolling basis based on Company discretion and group compatibility. Timing is not guaranteed. Removal or reassignment may occur at any time.
PARTNER DISCOUNTS + REFERRAL PROGRAM
Members may receive:
- Access to partner discounts
- Inclusion in the Project 1490 Referral Program
The terms, structure, and details of these programs are managed separately and may be modified or discontinued at any time without notice. We are not responsible for third-party products or services.
CODE OF CONDUCT
Members must abide by the Project 1490 Code of Conduct, which requires honesty, respect, confidentiality, and support of fellow members. Violations may result in immediate termination without refund.
Non-compliance includes but is not limited to:
- Discrimination, harassment, or threats
- Sharing confidential member information
- Solicitation for commercial purposes
- Harmful or disruptive behavior
We reserve the right to remove any member at any time.
IMAGE + MEDIA RELEASE
By attending or participating in any Project 1490 event—virtual or in-person—you grant Project 1490 an irrevocable, worldwide, perpetual, royalty-free license to record, photograph, film, and otherwise capture your image, likeness, and voice and to use such media in any format for marketing, promotional, and commercial purposes, without compensation.
If you do not wish to be photographed or recorded, you must notify us in writing in advance and again onsite. While we will make reasonable efforts to accommodate, exclusion from all group photos/video cannot be guaranteed.
ACCOUNT SECURITY
You are responsible for maintaining the accuracy and security of your account information and for all activities that occur under your account. You may not share your account login with others.
ASSUMPTION OF RISK
Many Project 1490 activities involve physical, outdoor, and skill-based experiences. These activities carry inherent risks of injury, illness, or death. By participating, you acknowledge and voluntarily assume all such risks, whether known or unknown. You release and hold harmless Project 1490 and its representatives from all claims arising from participation, including those arising from negligence to the fullest extent permitted by law.
INTELLECTUAL PROPERTY
All content, materials, features, and Services provided by Project 1490 are owned by the Company and protected by applicable intellectual property laws. You may not reproduce, modify, distribute, publicly display, or create derivative works without our express written consent.
You retain ownership of content you submit, but grant us a perpetual, royalty-free license to use it to operate and improve the Services.
THIRD-PARTY SERVICES
Project 1490 is not responsible for third-party websites, services, or vendors. Your interactions with them are at your own risk.
TERMINATION
We may suspend or terminate your membership or access to Services at any time for violation of these Terms, conduct harmful to the community, or for any reason at our discretion. All fees remain non-refundable.
You may discontinue use of the Services at any time; however, no refunds will be provided.
DISCLAIMER
The Services do not constitute medical, legal, psychological, financial, or career advice. Results are not guaranteed. You are responsible for your decisions and actions.
LIMITATION OF LIABILITY
To the fullest extent permitted by law, Project 1490, its owners, employees, agents, and affiliates shall not be liable for any indirect, consequential, special, incidental, or punitive damages arising from or connected to your use of the Services. Our maximum aggregate liability shall not exceed $100 USD.
INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Project 1490, its owners, employees, agents, and affiliates from claims, liabilities, damages, costs, and expenses (including attorneys’ fees) arising out of your use of the Services, violation of these Terms, or infringement of third-party rights.
ARBITRATION + CLASS ACTION WAIVER
Any dispute arising from these Terms will be resolved by binding arbitration on an individual basis in Westchester County, New York under the AAA Consumer Arbitration Rules. No class actions or consolidated proceedings permitted. If class arbitration is required by law, such claims must be filed in civil court and stayed pending arbitration.
This section survives termination.
GOVERNING LAW
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.
SEVERABILITY
If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
FORCE MAJEURE
We are not liable for delays or failure to perform due to events beyond our reasonable control.
NO ASSIGNMENT
You may not assign these Terms without our written consent. We may assign them at any time.
ENTIRE AGREEMENT
These Terms and the Privacy Policy constitute the entire agreement between you and the Company.
